Ιστορικό

Η εταιρεία Severis & Athienitis Financial Services συστάθηκε στις 5 Μαίου 1994 ως εταιρεία περιορισμένης ευθύνης με έδρα την Λευκωσία. Κατά την σύσταση της εταιρείας, το εγκεκριμένο μετοχικό κεφάλαιο ανερχόταν σε 10.000 συνήθεις μετοχές της £1 η κάθε μία και το εκδομένο μετοχικό κεφάλαιο στις 10.000 συνήθεις μετοχές της £1 η κάθε μία.

Οι αρχικοί μέτοχοι ήταν ο κ. Νίκος Κ. Σεβέρης και ο κ. Σταύρος Αθηαινίτης με ποσοστό συμμετοχής 51% και 49% αντίστοιχα.

Από την ημερομηνία ίδρυσης της μέχρι και το Μάρτιο του 1996, η Severis & Athienitis Financial Services ήταν ουσιαστικά αδρανής εταιρεία.

Από το Μάρτιο του 1996 η SAFS μπήκε δυναμικά στα χρηματιστηριακά δρώμενα του τόπου που σε συνεργασία με την Ελλαδική Χρηματιστηριακή Sigma Securities S.A. η οποία είναι από τις μεγαλύτερες χρηματιστηριακές εταιρείες σε όγκο συναλλαγών στην ελληνική κεφαλαιαγορά, ίδρυσαν τη Sigma-Severis & Athienitis Securities Ltd η οποία και έγινε μέλος του ΧΑΚ με εκδοθέν μετοχικό κεφάλαιο £300.000.

Στις 8/9/1997, η SAFS εξαγόρασε εξολοκλήρου το μετοχικό κεφάλαιο της Sigma-Severis & Athienitis Securities Ltd.

Κατά την περίοδο Σεπτεμβρίου - Οκτωβρίου 1997, η SAFS προχώρησε σε έκδοση και ιδιωτική τοποθέτηση μετοχών σε αριθμό επενδυτών και κατόπιν αιτήσεως της στις 24 Οκτωβρίου 1997 εγγράφηκε ως δημόσια εταιρεία σύμφωνα με τον περί Εταιρειών νόμο Κεφ. 113.

Στις 18 Νοεμβρίου 1997, η Sigma - Severis & Athienitis Securities Ltd μετονομάστηκε σε Severis & Athienitis Securities Ltd.

Απο τον Ιανουάριο 1999 η Severis & Athienitis Financial Services Ltd συμμετέχει με ποσοστό 70% στο μετοχικό κεφάλαιο της εταιρείας SAFS (Limassol) Ltd έναντι του ποσού των £700 με αγορά 700 μετοχών ονομαστικής αξίας £1 η κάθε μία. Η εταιρεία SAFS (Limassol) Ltd ιδρύθηκε στις 22 Ιανουαρίου 1999 από τη Severis & Athienitis F.S. και την εταιρεία Vourgos Consulting Services Ltd. Έδρα της εταιρείας είναι η Λεμεσός. Κύρια δραστηριότητα της η παροχή Χρηματοοικονομικών Υπηρεσιών.

Σε Έκτακτη Γενική Συνέλευση που πραγματοποιήθηκε στις 6 Ιουλίου 2005 εγκρίθηκε ψήφισμα για μετονομασία της εταιρείας από «Severis & Athienitis Financial Services Ltd» σε «SAFS Holdings Public Ltd».



Δραστηριότητες

Η εταιρεία έχει συνοπτικά ως κύριο σκοπό:

· Τη διεξαγωγή των εργασιών εταιρείας επενδύσεων και την απόκτηση και κατοχή μετοχών, μετοχικού κεφαλαίου, ομολογιών, γραμματίων, εγγράφων αναγνωρίσεως χρεών και χρεογράφων.
· Την διεξαγωγή εργασιών ως χρηματιστές, δανειστές, κεφαλαιούχοι, χρηματοδότες, τοκιστές, διαχειριστές περιουσιακών στοιχείων και την διεξαγωγή και παροχή συμβουλευτικών υπηρεσιών.


Η Severis & Athienitis Financial Services Ltd είναι εταιρεία που δραστηριοποιείται στην παροχή επενδυτικών και χρηματοοικονομικών υπηρεσιών.

History

1989

Severis S.A., an Investment Management Firm based in Switzerland, was established in 1989. It provides private and corporate clients with private investment banking services. Its staff are qualified specialists with expertise in private banking and portfolio management. The company does not accept deposits from clients, who maintain their own bank accounts giving Savers S.A. discretion to manage their assets. If prospective clients do not already have a Swiss bank account, the firm will assist in opening such an account.

Severis S.A. also maintains an offshore branch in Limassol, of which the manager is a Swiss national. Its multilingual staff speak languages including Greek, English, French, German and Italian. The fact that the company has good connections with several Swiss Banks enables visitors to Cyprus to open a Swiss Bank account without the inconvenience, complications, and cost of having to travel to Switzerland. Severis S.A. therefore offers a truly unique service.

The progress and performance of this company was achieved under the stewardship of its chief executive, Mr. Nicos Severis, who applies skillful and diligent management. His extensive investment banking experience of more than twenty-five years was instrumental in the successful creation of Severis & Athienitis Financial Services LTD (SAFS) in 1994.

1994

Severis & Athienitis Financial Services Ltd. (SAFS) - was incorporate in Cyprus in May 1994. It was not long after, in March 1996, that SAFS joined forces with Sigma Securities SA - a leading securities company in Greece - to become a major full service securities provider in Cyprus.

In 1994, Nicos Severis created the first foreign mutual fund in Cyprus called the Sofa Fund, which allows foreign investors to invest on Cyprus Stock Exchange (CSE). The Sofa Fund was ranked number one by the Lipper Analytical within its universe of emerging market Funds.

At the same time, the first CSE index for foreign investors was formed. This index, named Severis Cyprus Investible Index, was created in collaboration with an organization that specialised in emerging markets, ING Barings.

Sigma-Severis & Athienitis Securities LTD became a full member of the Cyprus Stock Exchange in the year 1996 with a paid up equity capital of CYP300,000.

1996

Sigma - Severis Athienitis Securities Ltd. (SSAS) - actively participated on the CSE and soon became a leading name in the stock brokerage business and the largest privately owned stock brokerage firm in Cyprus, ahead of brokerage houses owned by banks.

1997

Severis & Athienitis Securities Ltd. (SAS) - was created in 1997 when SAFS acquired 100% of the share capital of Sigma-Severis & Athienitis Securities Ltd. At the same time, SAFS increased its share capital through a Private Placement from CYP300,000 to CYP2 million.

1997 also marked a more pronounced turn to SAFS investment banking division with the collaboration of a South Korean Merchant Bank and Albourne Associates UK. With the resulting funding put at the disposal of SAFS, from foreign shareholders, SAFS was now able to underwrite securities in Cyprus and overseas in excess of CYP50 million.

1999

SAFS listed on the Cyprus Stock Exchange (CSE) on December 14th 1999, bringing its paid up share capital to 4,785,980 shares of nominal value 50 cent. The IPO was deemed a huge success with a six-hundred-fold over subscription and an opening price a staggering 10 times the issue price, a reflection of the markets appreciation of the largest brokerage house on the island.

Apart from SAFS prestigious and envied local image for customer service and trust, SAFS reputation and business ethics have earned the respect and trust of some the world’s largest investment banks and institutional investors who have retained SAS to act as their local broker.

2000

June

Apart from SAFS continued growth in both its brokerage and corporate finance divisions - not to mention strong stock performance - its first AGM in June marked the announcement of a major new product and service diversification programme.

July

Less than one month later, on July 1st 2000, SAFS announced a new partnership with leading Greek insurance company, European Reliance (ER), to create a joint venture in Cyprus that will provide unique investment opportunities and insurance related products for local and foreign investors.

This new partnership marks the next major step in SAFS strategic product and services growth programme a campaign designed to build the strongest quality financial services company in Cyprus.

The first stage of the partnership will involve the creation of two jointly owned Cyprus registered companies. The first, European Reliance SAFS Mutual Funds Ltd., will specialise in the creation and management of mutual funds. The second, European Reliance SAFS Insurance Ltd., will specialise in the provision of life and general insurance products and related services. The eventual aim is to successfully launch the full range of ER’s products and services onto the Cypriot market.
