A. Panayides Contracting Ltd (APC) announces that, based on the issuance terms of the Prospectus of 27/2/2002, the period for exercising warrants is 18-29/11/2002, 17-28/11/2003 and 15-26/11/2004.
The warrant exercise price is 60 cents per warrant. Each warrant exercised will be converted into a share of nominal value 20 cents each and will be part of the already existing shares (rank pari passu). The new shares resulting from the exercise of warrants will be registered in the Central Registry and listed on the CSE.
Warrant holders who wish to exercise them must complete and sign up the attached Acceptance Form and then send it to Company’s Secretary, 105 Agion Omologiton Avenue, 1080 Nicosia, along with a cheque to A. Panayides Contracting Limited, declaring the number of shares that warrants are exercised and deposit it along with the required amount to Company’s registered office on the date of exercise.
We would like to notify all warrant holders that they should seriously consider the share’s trading price at the CSE during the time of exercising the warrants. It is noted that at the date of this announcement, the share’s price is lower than the warrant’s exercise price.
