A. Panayides Contracting Ltd would like to remind its warrant holders that pursuant to the issue terms included in the Company’s Prospectus dated 27/2/2002, warrants were exercisable on November 18-29, 2002 and November 17-28, 2003. The last warrant exercise period is November 15-26, 2004.
The exercise price is 60 cents per warrant. Each warrant exercised will be converted into a share of nominal value 20 each and will rank pari passu. The new shares resulting from the exercise of warrants will be registered in the Central Registry and will be listed in the CSE.
Process:
All warrant holders who wish to exercise their warrants must fill in and sign the Acceptance Form and send it to the Company’s Secretary: 105 Ayion Omologiton Avenue, 1080 Nicosia together with the relevant cheque payable to A. Panayides Contracting Limited.
All registered warrant holders who do not possess an Acceptance Form must declare the number of shares for which warrants are exercised and submit it along with the required amount at the Company’s registered office during the exercise period.
The Company would like to notify all warrant holders that they should seriously consider the share’s trading price at the CSE during the warrant exercise period. It is noted that at the date of this announcement (19/10/2004) the share’s price is lower than the warrant’s exercise price.
