Vision: Six steps to achieve targets

Vision International will take six steps for a more efficient accomplishment of its targets in view of the continuous economic recession.

According to an announcement released today, “within the scope of developing a new business and operational model towards a more efficient accomplishment of its targets and in view of the continuous economic recession which exists, the following have been resolved aiming towards the further improvement of the running of the business of the Company in Europe as well as the reduction of its operational costs:”

1. The acquisition of VIPG SA, Vision Commerce SA and Vision Societe SA with their registered seat in Switzerland, from HTC AG.

2. The acquisition of Vision E-Shop GmbH with its registered seat in Austria, from HTC AG for the purpose of e-shops launching.

3. The termination of the business of Nutri Export Limited Partnership, Sambrook Holdings Limited and Nutriprodex Limited and their striking off.

4. The assignment to the company Vision Commerce SA of the rights and obligations vested under the written agreements of the entities referred to in (3) above, as follows:

a. The Exclusive Purchase and Supply Agreement between Nutri Export Limited Partnership and Nutripharma Ltd
b. The various Contracts of Sale of Goods between Nutri Export Limited Partnership and the trading subsidiary companies of Vision International People Group Public Limited.
c. The Contract of Sale of Goods between Nutriprodex Ltd. and Nutri Export Limited Partnership.

5. The termination of the Services Agreement between Vision International People Group Public Limited and Sambrook Holdings VIPGPL.

6. The approval in principle of the attraction of a loan facility up to the amount of Euro 10,000,000 from the company VIP Progress (Overseas) Ltd.
